This role is significantly broader than that of a common law notary public, who typically only certifies signatures and copies.

We notarize share purchase and transfer agreements (share deals) as well as asset deals involving companies or real estate portfolios and ensure a legally robust closing and post closing implementation with the commercial register and the land registry.

For clients from common law jurisdictions: the civil law notary typically drafts and formalizes the transaction documents, ensures that corporate and regulatory requirements are met and takes care of the filings with the relevant public registers.

Incorporations & venture capital

We support founders and investors from the initial structuring through to the exit. We understand the dynamics of financing rounds and implement complex documentation precisely and under tight schedules:

    Even in face to face meetings, we rely on a fully digital workflow. We read out the deed from the screen and implement necessary changes in real time. You leave the meeting with a final version, and usually receive the executed documents via email within minutes after completion.

  • Electronic filings

    We ensure immediate electronic filing with the commercial register, land registry and public authorities via secure electronic communication channels.

  • Online procedures

    Many commercial register filings, incorporations and powers of attorney can be handled via the official online notarization platform using video conferencing (where permitted by law).

  • Data collection

    You can use our online forms online forms for quick and secure data transmission, particularly for standard incorporations and commercial register filings before or after a transaction.
